Governance: Stewardship, Accountability, Long-Term Thinking

Zamani is built on the belief that enduring institutions require strong governance, responsible stewardship, and a commitment to future generations. Our governance framework is designed to ensure that resources are managed responsibly, decisions are made transparently, and the organisation remains focused on its mission over the long term. Zamani operates through three complementary leadership bodies:

1. Founder

The Founder serves as the long-term steward of Zamani's vision and mission.

The Founder provides strategic direction, safeguards the institution's purpose, and helps ensure continuity across generations as the organisation grows and evolves.

2. Executive Team
The Executive Team is responsible for the day-to-day leadership and management of Zamani.

Led by the Chief Executive Officer, the Executive Team implements strategy, manages operations, develops partnerships, oversees programmes and initiatives, and supports the growth of the institution.

3. Board of Directors

The Board of Directors is responsible for governance, oversight, and safeguarding the long-term interests of the institution.

The Board provides independent oversight of strategy, financial stewardship, risk management and organisational performance. Responsibilities include:

  • Approving strategic direction
  • Overseeing financial management
  • Ensuring accountability and transparency
  • Reviewing organisational performance
  • Protecting the long-term sustainability of the institution

The Board is led by an Independent Chair who is separate from executive management.

Committees

To support effective governance, the Board may establish committees responsible for specific areas of oversight.

These may include:

  • Governance & Nominations Committee Responsible for board effectiveness, succession planning, governance policies, and board appointments.
  • Finance & Audit Committee Responsible for financial oversight, risk management, budgeting, reporting, and audit processes.

Additional committees may be established as the organisation grows.
